Welcome to TrustReq, a division of 10665568 Canada Inc. TrustReq is a platform designed to help law firms comply with their Law Society obligations. By accessing or using TrustReq ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree with these Terms, you may not use the Service.
Acceptance of Terms
By accessing and using TrustReq, you accept and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, do not use the Service.
Modifications to Terms
TrustReq reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service constitutes acceptance of the modified Terms.
Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all activities that occur under your account. TrustReq reserves the right to monitor your use of the Service to ensure compliance with these Terms. TrustReq may, at its sole discretion, remove or disable access to any content that violates these Terms or that TrustReq deems, in its sole discretion, to be otherwise objectionable.
Account Responsibility
You are responsible for maintaining the confidentiality of your account information, including your username, password, and any other credentials associated with your account. You agree to take all necessary precautions to prevent unauthorized access to or use of your account. This includes, but is not limited to, using strong passwords, regularly updating your passwords, and ensuring that you log out of your account at the end of each session. You agree to notify TrustReq immediately if you become aware of or suspect any unauthorized access to or use of your account, or any other breach of security. This includes, but is not limited to, the unauthorized use of your password or account, or any other breach of security. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. TrustReq reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter is found to be inaccurate, not current, or incomplete. You are solely responsible for all activities that occur under your account, whether or not you authorized the activity. This includes any actions taken by individuals who have access to your account due to your negligence or failure to maintain the confidentiality of your account information. TrustReq shall not be liable for any loss or damage arising from unauthorized use of your account. TrustReq implements reasonable security measures to protect your account information from unauthorized access, use, or disclosure. However, you acknowledge and agree that no system can be completely secure, and TrustReq does not guarantee the absolute security of your account information. You are responsible for taking your own precautions to protect your account information. If you access your account from multiple devices, you are responsible for ensuring that each device is secure and that your account information is not accessible by unauthorized individuals. You agree to follow all security recommendations provided by TrustReq to safeguard your account. You agree not to share your account credentials with any third party. If you allow a third party to access your account, you are fully responsible for any actions taken by the third party, and TrustReq is not liable for any consequences resulting from such access. TrustReq reserves the right to suspend or terminate your account and access to the Service at any time, without prior notice, for any reason, including but not limited to a violation of these Terms, suspected unauthorized use, or any other reason deemed appropriate by TrustReq. In the event of unauthorized use or other security breaches, TrustReq may require you to change your password or take other security measures to protect your account. TrustReq may also temporarily or permanently disable your account if necessary to protect the security of the Service or other users. You agree to indemnify, defend, and hold harmless TrustReq, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your failure to maintain the confidentiality of your account information or your unauthorized use of your account. TrustReq provides procedures for recovering your account in case you forget your password or otherwise lose access to your account. You are responsible for following these procedures to regain access to your account. TrustReq is not liable for any loss or damage resulting from your failure to follow these procedures. You agree to comply with all TrustReq policies and procedures related to account security and usage. Failure to comply with these policies and procedures may result in suspension or termination of your account.
Data Handling and Privacy
While TrustReq implements security measures to protect your data, you acknowledge that data transmission over the Internet is inherently insecure. TrustReq does not guarantee the security of your data and is not responsible for any data loss or breach. More details can be found in TrustReq’s Privacy Policy.
No Warranty
The Service is provided "as is" and "as available," without any warranty of any kind. TrustReq expressly disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the fullest extent permitted by law, TrustReq, its affiliates, and their respective directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party; (v) any errors or omissions in any content; (vi) the defamatory, offensive, or illegal conduct of any third party; and/or (vii) any inaccuracy or inconsistency between the Service’s calculations, record keeping assistance, By-Law compliance tools, guidance, etc., compared to the actual regulatory obligations imposed on the user by the relevant regulatory authorities.
Indemnification
You agree to indemnify, defend, and hold harmless TrustReq, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party rights, including without limitation any intellectual property, privacy, or proprietary right.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located within Ontario.
Termination
TrustReq may terminate or suspend your account and access to the Service at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Entire Agreement
These Terms, along with the Privacy Policy, and any other legal notices or terms published by TrustReq on the Service, constitute the entire agreement between you and TrustReq regarding your use of the Service ("Entire Agreement"). This Entire Agreement supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter. All prior agreements, negotiations, promises, or communications, whether oral or written, between you and TrustReq that relate to the subject matter of these Terms are expressly superseded by the Entire Agreement. Any previous agreements or understandings between the parties, including earlier versions of these Terms, are null and void upon your acceptance of the current Terms. The Privacy Policy is an integral part of the Entire Agreement. By using the Service, you agree to the terms outlined in the Privacy Policy, which governs how TrustReq collects, uses, discloses, and protects your personal information. The Privacy Policy is incorporated by reference into these Terms and has the same force and effect as if it were expressly set forth herein. This Entire Agreement is for the benefit of the parties hereto and their permitted successors and assigns and is not intended to confer any rights or benefits on any third party, and no third party shall have any right to enforce any terms of this Entire Agreement. TrustReq reserves the right to modify these Terms or the Privacy Policy at any time. Any modifications will be effective upon posting the updated Terms or Privacy Policy on the Service. Your continued use of the Service after any such modifications constitutes your acceptance of the updated Terms or Privacy Policy. It is your responsibility to review the Terms and Privacy Policy regularly to stay informed of any changes. If any provision of the Entire Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the extent necessary to make it valid and enforceable, or, if such modification is not possible, then such provision shall be severed from the Entire Agreement. The remaining provisions of the Entire Agreement shall remain in full force and effect. No waiver of any term or condition of the Entire Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of TrustReq to assert a right or provision under the Entire Agreement shall not constitute a waiver of such right or provision. You may not assign or transfer your rights or obligations under the Entire Agreement without the prior written consent of TrustReq. TrustReq may assign or transfer its rights and obligations under the Entire Agreement without restriction or notification to you. The headings in the Entire Agreement are for convenience only and shall not affect the interpretation or construction of the terms. The Entire Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located within Ontario for the resolution of any disputes arising out of or relating to the Entire Agreement or your use of the Service. All notices required or permitted to be given under the Entire Agreement shall be in writing and delivered to the other party by any of the following methods: personal delivery, certified mail (return receipt requested), or electronic mail. Notices to TrustReq shall be sent to legal@trustreq.ca. Notices to you shall be sent to the contact information provided by you during the registration process or as updated by you. In the event of any ambiguity or question of intent or interpretation of any provision of the Entire Agreement, the interpretation shall not be construed against the drafter of the agreement. The language in the Entire Agreement shall be interpreted as to its fair meaning and not strictly for or against any party. The provisions of the Entire Agreement that by their nature should survive termination or expiration, including but not limited to the sections on Indemnification, Limitation of Liability, Governing Law, and Dispute Resolution, shall survive any termination or expiration of the Entire Agreement.
Prohibited Uses
You agree not to use the Service:
In any way that violates any applicable federal, provincial, local, or international law or regulation.
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
To send, knowingly receive, upload, download, use, or re-use any material which does not comply with these Terms.
To impersonate or attempt to impersonate TrustReq, a TrustReq employee, another user, or any other person or entity.
To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm TrustReq or users of the Service or expose them to liability.
To access or use the Service for any competitive analysis or to build a competing product or service.
To reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service.
To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
To attack the Service via a denial-of-service attack or a distributed denial-of-service attack.
To engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
To engage in any activity that could damage, disable, overburden, or impair the proper working of the Service.
To use any device, software, or routine that interferes with the proper working of the Service or to bypass or attempt to bypass any measures employed to prevent or restrict access to the Service.
To copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Service in any form or by any means without our prior written permission.
Misuse of User Accounts
The Service is designed to be used by individual users or teams, with each user required to have their own account. Each account is intended for use by a single individual, and shared use of one account by multiple individuals is strictly prohibited. You agree not to share your account credentials, including your username and password, with any other individual. You further agree not to allow multiple individuals to access or use the Service through a single account. This includes, but is not limited to, sharing login information within a team, department, or organization to avoid purchasing the appropriate number of licenses. TrustReq reserves the right to monitor accounts for signs of misuse, including but not limited to unusual login patterns, multiple simultaneous logins from different locations, or other indicators that an account is being used by multiple individuals. TrustReq may use technical measures to detect and prevent such misuse. If TrustReq determines, in its sole discretion, that an account is being used in violation of these Terms, TrustReq reserves the right to take enforcement actions, including but not limited to: (1) temporarily suspending or permanently terminating the account in question; (2) charging additional fees for the unauthorized users, calculated based on TrustReq’s standard pricing for multiple accounts; and (3) requiring the purchase of the appropriate number of user accounts and reassigning individual accounts to each user. In the event of detected misuse, TrustReq will make reasonable efforts to notify the account holder of the violation and provide an opportunity to rectify the situation within a specified period. Failure to comply with TrustReq’s directives within the given timeframe may result in further enforcement actions. TrustReq reserves the right to audit your use of the Service to ensure compliance with these Terms. This audit may include reviewing your account usage, login patterns, and other relevant information. You agree to cooperate fully with any audit and provide any information reasonably requested by TrustReq. You agree to indemnify, defend, and hold harmless TrustReq, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your misuse of user accounts. If an audit or investigation reveals that you have violated these Terms by allowing multiple individuals to use a single account, you agree to take immediate remedial actions as directed by TrustReq, which may include purchasing additional accounts or licenses and paying any applicable fees or penalties. You waive any claims against TrustReq arising from the enforcement of this clause, including but not limited to claims related to account suspension, termination, or additional charges resulting from misuse. Each user is responsible for maintaining the confidentiality of their own account credentials and for ensuring that their account is used solely by them. Sharing account credentials or otherwise circumventing the intended use of the Service is a violation of these Terms. If you become aware of any misuse of accounts within your organization or by other users, you agree to promptly report such misuse to TrustReq. TrustReq will investigate reported violations and take appropriate action as necessary.
Copyright and Intellectual Property
All content and materials available on TrustReq, including but not limited to text, graphics, website name, code, images, and logos are the intellectual property of TrustReq and are protected by applicable copyright and trademark law, subject to other Agreements we may have entered into. Any unauthorized use, including but not limited to the reproduction, distribution, display, or transmission of the content of this site is strictly prohibited, unless specifically authorized by TrustReq.
No Guarantee of Audit Success
TrustReq provides tools to assist law firms in managing their compliance with Law Society obligations. However, TrustReq makes no guarantees or assurances that using the Service will result in passing any audits conducted by regulatory bodies. The responsibility for compliance remains solely with the user.
User-Generated Content
By submitting, posting, or displaying any content on or through the Service, including but not limited to feedback, suggestions, reviews, comments, and other submissions ("User-Generated Content"), you hereby grant TrustReq a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit such User-Generated Content in any form, format, media, or media channels now known or later developed. You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and permissions to submit the User-Generated Content and to grant TrustReq the rights and licenses outlined in these Terms. You further represent and warrant that the User-Generated Content does not infringe, violate, or misappropriate any third-party rights, including but not limited to intellectual property rights, privacy rights, and publicity rights. TrustReq may use, display, perform, modify, and adapt your User-Generated Content for promotional, advertising, marketing, research, and other business purposes. This may include, but is not limited to, featuring your content on the Service, in email communications, in social media posts, and in other marketing materials. You acknowledge and agree that you are not entitled to any compensation or reimbursement of any kind from TrustReq for the use of your User-Generated Content, whether in its original form or as modified by TrustReq, and regardless of the manner or medium in which it is used. To the fullest extent permitted by law, you hereby irrevocably waive any and all rights, including moral rights or rights of authorship, in and to your User-Generated Content. This waiver applies worldwide and ensures that TrustReq may exercise the rights granted in these Terms without any further obligation to you. TrustReq reserves the right, but is not obligated, to review, monitor, edit, or remove any User-Generated Content at its sole discretion and without notice. This includes content that TrustReq deems, in its sole discretion, to be inappropriate, offensive, illegal, or in violation of these Terms. You are solely responsible for your User-Generated Content and the consequences of submitting, posting, or displaying it. TrustReq assumes no responsibility or liability for any User-Generated Content or for any claims, damages, or losses resulting from its use or publication. The Service may include content provided by other users or third parties. TrustReq does not endorse, guarantee, or assume any responsibility for the accuracy, completeness, or usefulness of any third-party content. You acknowledge that your reliance on any third-party content is at your own risk. Any feedback, suggestions, or ideas you provide to TrustReq regarding the Service ("Feedback") are non-confidential and TrustReq shall be free to use such Feedback on an unrestricted basis. You hereby assign all rights, title, and interest in and to such Feedback to TrustReq and agree that TrustReq shall have the right to use, implement, and modify any Feedback without any further obligation to you. You agree to indemnify, defend, and hold harmless TrustReq, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your User-Generated Content, your use of the Service, or your violation of these Terms. You agree to comply with all applicable laws and regulations in relation to your User-Generated Content and your use of the Service. You represent and warrant that your User-Generated Content does not and will not violate any local, national, or international law.
Service Availability and Uptime
TrustReq aims to provide continuous access to the Service but does not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance periods or due to unforeseen circumstances such as technical issues or force majeure events. TrustReq will endeavor to schedule maintenance during off-peak hours but this cannot be guaranteed. You acknowledge and agree that TrustReq shall not be liable for any inconvenience, loss, or damage resulting from scheduled maintenance. In the event of unscheduled downtime, TrustReq will work to restore access to the Service. However, TrustReq does not guarantee any specific time frame for resolution and is not responsible for any losses incurred due to downtime.
Data Backup and Recovery
You agree to maintain your own backups of important data. TrustReq is not liable for any data loss or corruption, whether or not such loss or corruption is or was within our control. We do not guarantee that all lost or corrupted data can be recovered and is not liable for any incomplete or unsuccessful data recovery.
Beta features
TrustReq may offer beta features or functionalities for users to test and provide feedback. These beta features are provided "as is" without any warranties, and TrustReq is not liable for any issues arising from their use. Users agree to use beta features at their own risk.
Third-Party Integrations
TrustReq may integrate with third-party applications, services, or content (collectively, "Third-Party Services") to enhance the functionality of the Service. These integrations are provided for your convenience and to facilitate the seamless operation of the Service. TrustReq does not endorse, control, or assume any responsibility for any Third-Party Services. The inclusion of any Third-Party Services does not imply endorsement or a recommendation by TrustReq. Your use of Third-Party Services is at your own risk, and TrustReq disclaims all warranties and liabilities related to such use. Third-Party Services are subject to their own terms and conditions, privacy policies, and data practices. You acknowledge that TrustReq is not responsible for the terms and conditions or the privacy practices of any Third-Party Services. It is your responsibility to review and comply with the terms and conditions of any Third-Party Services. To enable the integration of Third-Party Services, you may be required to grant TrustReq access to your accounts, data, or other information held by the third-party providers. You hereby grant TrustReq all necessary rights and permissions to facilitate such access and integration, including the right to share your information with the Third-Party Services as necessary to enable the functionality of the Service. TrustReq may share certain information with Third-Party Services as part of the integration process. Such information may include, but is not limited to, user credentials, account details, transaction history, and usage data. You acknowledge and agree that TrustReq is not responsible for any data once it is transferred to or processed by the Third-Party Services. TrustReq makes no representations or warranties regarding the availability, functionality, or performance of any Third-Party Services. TrustReq is not responsible for any disruptions, errors, or issues caused by the integration or use of Third-Party Services. If any Third-Party Service becomes unavailable or if TrustReq ceases to support its integration, you agree that TrustReq shall not be liable for any resulting loss or damage. TrustReq takes reasonable measures to ensure that integrations with Third-Party Services are secure. However, TrustReq does not guarantee the security of any Third-Party Services and is not responsible for any breaches, data loss, or other security incidents that occur as a result of using Third-Party Services. You are encouraged to review the security practices of any Third-Party Services you choose to use. TrustReq reserves the right to modify, suspend, or discontinue any integration with Third-Party Services at any time, with or without notice. TrustReq shall not be liable for any loss or damage arising from such modification, suspension, or discontinuation. Some Third-Party Services may require payment of fees or charges. You are solely responsible for any such fees or charges and for complying with any additional terms imposed by the Third-Party Services. TrustReq is not responsible for any fees or charges incurred by your use of Third-Party Services. TrustReq shall not be liable for any damages, losses, or liabilities arising from your use of or reliance on any Third-Party Services. You agree to indemnify, defend, and hold harmless TrustReq, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your use of Third-Party Services or your violation of the terms and conditions of any Third-Party Services. Any disputes arising out of or relating to the use of Third-Party Services shall be governed by the applicable terms and conditions of the Third-Party Services. TrustReq shall not be responsible for resolving any disputes between you and any third-party providers. If you provide any feedback, comments, or suggestions regarding Third-Party Services, you agree that TrustReq may use such feedback to improve its own services or to enhance its integrations with Third-Party Services, without any obligation to you.
Third-Party Offers
TrustReq may provide or make available offers, promotions, or other opportunities (collectively, "Offers") from third-party companies ("Third Parties") to users of TrustReq. These Offers may include, but are not limited to, discounts, rebates, promotional codes, and other rewards or incentives. In connection with certain Offers, TrustReq may receive referral rewards, commissions, or other compensation from Third Parties when users participate in or redeem such Offers. By participating in these Offers, you acknowledge and agree that TrustReq may receive such compensation and that you have no right to any portion of the compensation received by TrustReq. TrustReq may or may not disclose the specific nature of its relationship with Third Parties and the compensation arrangements involved. TrustReq is under no obligation to provide any details regarding the financial arrangements or the amount of compensation received. The inclusion of any Offers or links to Third Party websites or services does not imply endorsement, sponsorship, or recommendation by TrustReq of the Third Parties, their products, or their services. TrustReq makes no representations or warranties regarding the Offers, products, or services provided by Third Parties. Participation in any Offers or engagement with Third Parties is at your own risk and discretion. TrustReq does not guarantee the availability, quality, or suitability of any Offers or the products or services provided by Third Parties. It is your responsibility to review the terms and conditions, privacy policies, and any other relevant information provided by the Third Parties before participating in any Offers. TrustReq shall not be liable for any loss, damage, or injury arising out of or in connection with your participation in any Offers or your interaction with Third Parties. This includes, but is not limited to, any loss, damage, or injury resulting from the use or inability to use any products or services provided by Third Parties. You agree to indemnify, defend, and hold harmless TrustReq, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in any Offers or your interaction with Third Parties. TrustReq reserves the right to modify or terminate any Offers at any time, without notice and for any reason. TrustReq is not responsible for any effects on users or Third Parties due to such modifications or terminations. TrustReq does not guarantee any specific level of savings or benefits from participating in any Offers. Any descriptions or depictions of potential savings or benefits are for illustrative purposes only and may not reflect actual results. This clause and all related matters shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. Any disputes arising out of or relating to this clause or the Offers shall be resolved exclusively in the courts of the Province of Ontario, Canada. By participating in any Offers or engaging with Third Parties through TrustReq, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this clause.
Electronic Communications
By using the Service, you consent to receive electronic communications from TrustReq. These communications may include notices about your account and information concerning or related to the Service. You agree that any notices, agreements, disclosures, or other communications that TrustReq sends to you electronically will satisfy any legal communication requirements, including that such communications be in writing. TrustReq reserves the right to notify you of changes to the Service or these Terms via email or through the Service. It is your responsibility to keep your contact information updated to receive such notifications.
Force Majeure
TrustReq shall not be liable for any failure to perform its obligations under these Terms if such failure is caused by events, circumstances, or causes beyond its reasonable control, including but not limited to acts of God, natural disasters (such as floods, earthquakes, hurricanes, tornadoes, and other extreme weather conditions), war, invasion, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power, or confiscation, terrorist activities, riot, civil commotion, strike, lockout or other industrial disputes (whether involving the workforce of TrustReq or any other party), failure of utility service, infrastructure or network failure, power outage, governmental order, law or regulation, pandemic, epidemic, or any other event that is beyond the reasonable control of TrustReq (each a "Force Majeure Event"). During the continuance of a Force Majeure Event, TrustReq's obligations under these Terms shall be suspended to the extent that the Force Majeure Event prevents or delays TrustReq's performance. TrustReq shall not be liable for any delay or failure in performance or for any damages, costs, losses, or expenses resulting from a Force Majeure Event. This includes, but is not limited to, any direct, indirect, incidental, special, consequential, or punitive damages, loss of profits or revenues, or any loss of data or goodwill. The occurrence of a Force Majeure Event shall not excuse your obligation to make any payments due to TrustReq prior to, during, or after the Force Majeure Event. All such payments shall remain due and payable in accordance with these Terms.
Pricing and Payment Terms
The prices for the Service are determined by TrustReq and may vary depending on the features, subscription plans, and usage levels selected by the user. All prices are quoted in Canadian Dollars (CAD) unless otherwise specified. TrustReq reserves the right to modify its pricing structure at any time. Any changes to the pricing will be communicated to users in advance, either through email or via a notification on the Service. Continued use of the Service after the effective date of the price change constitutes acceptance of the new pricing. All prices are exclusive of applicable federal, provincial, local, or other taxes. You are responsible for paying all such taxes related to your use of the Service. If TrustReq is required to collect or pay any taxes on your behalf, such amounts will be invoiced to you and you agree to pay them. TrustReq will bill you on a recurring basis, either monthly or annually, depending on the subscription plan selected. Payment is due upon receipt of the invoice and must be made by credit card, debit card, or other payment methods specified by TrustReq. You authorize TrustReq to charge your payment method on file for all amounts due. If you fail to make any payment on time, TrustReq reserves the right to charge a late fee and/or suspend or terminate your access to the Service. Interest may be charged on any overdue amounts at the rate of 1.5% per month (or the highest rate permitted by law, if lower) from the due date until the date of payment. All fees paid are non-refundable, except as required by law or as otherwise specified in these Terms. TrustReq does not offer refunds or credits for partial months of service, unused features, or any other reason unless explicitly stated. If you believe that TrustReq has billed you incorrectly, you must contact TrustReq in writing within thirty (30) days of the billing date, specifying the nature and amount of the disputed charge. Failure to timely notify TrustReq of a fee dispute shall result in the waiver of your claims related to such dispute. TrustReq will investigate the claim and, if it determines that the charge was incorrect, it will issue a credit or adjustment. TrustReq may, from time to time, offer promotions or discounts on its pricing. These promotions or discounts are subject to the specific terms and conditions outlined at the time of the offer and may be modified or discontinued at any time without notice. Any promotional prices or discounts offered are valid only for the specified term. Upon renewal, the Service will be billed at the then-current standard rates unless otherwise agreed in writing by TrustReq. If you are located outside of Canada, you acknowledge that currency exchange rates and fees may apply to your payments. TrustReq is not responsible for any discrepancies or fees related to currency exchange or international transactions. You agree not to reproduce, duplicate, copy, sell, trade, resell, or exploit for any commercial purposes any portion of the Service, use of the Service, or access to the Service, without the express prior written consent of TrustReq. TrustReq reserves the right to increase fees for the Service upon prior written notice to you. Any such fee increase will usually be effective upon your next billing cycle following the notice period, or sooner or later as indicated by us. If you do not agree to the fee increase, you may terminate your subscription in accordance with these Terms. TrustReq may offer trial periods during which the Service is provided free of charge or at a discounted rate. Upon the expiration of the trial period, standard fees will apply unless you cancel your subscription prior to the end of the trial period. Specific terms and conditions for trial periods will be provided at the time of the offer. Unless you notify TrustReq before the end of the applicable subscription period that you want to cancel, your subscription will automatically renew, and you authorize us to collect the then-applicable subscription fee using any payment method we have on record for you. Automatic renewals will be charged at the current rate at the time of renewal. You may cancel your subscription at any time by providing notice to TrustReq. Upon cancellation, your access to the Service will continue until the end of your current billing period, at which point it will terminate. No refunds will be issued for any remaining period of the subscription term. TrustReq reserves the right to terminate your subscription or access to the Service at any time, with or without cause, upon notice to you. If you wish to change your payment method, you may do so by updating your account information on the Service. TrustReq will continue to charge your existing payment method until the new payment method information is provided and verified. TrustReq reserves the right to audit your use of the Service to ensure compliance with these Terms. If an audit reveals any discrepancies, including but not limited to underpayment or overuse, you agree to pay the amounts due within ten (10) business days of notification. You acknowledge and agree that you are financially responsible for your use of the Service and any related charges, including any fees charged by your bank or credit card issuer. If you have a prepaid account, any unused balance will not carry over to subsequent billing periods and will not be refunded. Prepaid accounts are subject to the same terms and conditions as other subscription plans. In the event of a payment dispute, TrustReq reserves the right to suspend your access to the Service until the dispute is resolved. You agree to cooperate with TrustReq in good faith to resolve any payment disputes promptly. From time to time, TrustReq may offer special promotional rates or discounts. These offers are valid only for the period specified and are subject to change without notice. TrustReq reserves the right to modify or discontinue promotional offers at its sole discretion. You agree to provide accurate, current, and complete billing information, including your legal name, address, telephone number, and payment method information. You agree to promptly update your billing information in the event of any changes. If you initiate a chargeback or dispute a payment made to TrustReq without a valid reason, TrustReq reserves the right to terminate your access to the Service and pursue any available legal remedies. You agree to indemnify and hold TrustReq harmless from any costs or damages resulting from your initiation of a chargeback or payment dispute. You are responsible for managing your subscription settings, including plan changes, cancellations, and renewals. TrustReq is not responsible for any fees incurred due to your failure to manage your subscription settings appropriately.
Disclosure to Regulatory Bodies and Law Enforcement
TrustReq reserves the right to disclose any data or information in its possession, including but not limited to user data, transaction history, communications, and any other information submitted to or stored within the Service ("User Data"), to the Law Society of Ontario (LSO) or any other regulatory body or law enforcement authority without notice to or consent from the user. TrustReq may disclose User Data to comply with applicable laws, regulations, legal processes, or governmental requests. This includes, but is not limited to, compliance with court orders, subpoenas, search warrants, and other legal or regulatory requirements. TrustReq may disclose User Data to protect the rights, property, or safety of TrustReq, its users, or the public. This includes actions taken to prevent or investigate possible wrongdoing in connection with the Service, enforce these Terms, or protect against legal liability. TrustReq acknowledges its obligations to cooperate with the Law Society of Ontario and other regulatory bodies. As part of this cooperation, TrustReq may provide access to User Data to facilitate audits, investigations, compliance reviews, or other regulatory oversight activities. TrustReq may disclose User Data in response to requests from law enforcement authorities if TrustReq believes in good faith that such disclosure is necessary to prevent, detect, or address illegal activity, fraud, abuse, violations of TrustReq’s policies, or threats to the security or integrity of the Service. In certain circumstances, TrustReq may be prohibited by law from notifying users about the disclosure of their User Data to regulatory bodies or law enforcement authorities. TrustReq will comply with all legal requirements in this regard and will not be liable for any harm or loss resulting from its compliance with such disclosure obligations. The scope of User Data disclosed to regulatory bodies or law enforcement authorities may include, but is not limited to, personally identifiable information, account information, transaction details, communications, usage data, and any other information deemed relevant by TrustReq. TrustReq will make reasonable efforts to ensure the integrity and accuracy of User Data disclosed to regulatory bodies or law enforcement authorities. However, TrustReq does not guarantee the accuracy, completeness, or timeliness of the disclosed information. Users agree to cooperate with TrustReq in any investigation or compliance review conducted by regulatory bodies or law enforcement authorities. This may include providing additional information or documentation as requested by TrustReq. Users agree to indemnify, defend, and hold harmless TrustReq, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with TrustReq’s disclosure of User Data to regulatory bodies or law enforcement authorities in accordance with this clause. TrustReq retains all rights to challenge or contest any legal or regulatory request for disclosure of User Data if TrustReq believes in good faith that such request is not legally valid or appropriate. However, TrustReq’s decision to challenge or comply with any such request shall be made at its sole discretion. The provisions of this clause are in addition to and do not limit any rights or obligations under TrustReq’s Privacy Policy. In the event of any conflict between this clause and the Privacy Policy, the terms of this clause shall prevail with respect to disclosures to regulatory bodies or law enforcement authorities. The obligations and rights contained in this clause shall survive the termination of your use of the Service and the expiration or termination of these Terms.
Advertising and Marketing
TrustReq may display advertisements on or through the Service. These advertisements may be targeted based on the information provided by users, usage patterns, and other factors. By using the Service, you agree to the display of such advertisements. Users agree that TrustReq may use their name, logo, feedback, testimonials, and any other user-generated content ("User Contributions") in TrustReq’s marketing and promotional materials. This includes, but is not limited to, use in case studies, website content, social media posts, newsletters, press releases, and other marketing collateral. TrustReq will use User Contributions in accordance with reasonable and customary marketing practices. TrustReq reserves the right to modify or remove any User Contributions from its marketing and promotional materials at any time, without notice to the user. Users acknowledge and agree that they will not receive any compensation or reimbursement of any kind for TrustReq’s use of their User Contributions in marketing and promotional materials. TrustReq may display advertisements from third parties on the Service. These advertisements are not endorsements or recommendations by TrustReq. Users agree that TrustReq is not responsible for the content, products, or services offered by third-party advertisers. Any dealings or interactions with third-party advertisers are solely between the user and the advertiser. TrustReq respects user privacy and will handle any personal information collected through advertisements in accordance with its Privacy Policy. Users can learn more about how TrustReq collects, uses, and discloses personal information by reviewing the Privacy Policy. TrustReq will adhere to applicable advertising standards and guidelines to ensure that advertisements displayed on the Service are appropriate and compliant with relevant laws and regulations. TrustReq reserves the right to reject or remove any advertisement that does not meet these standards. By using the Service, users agree to receive marketing communications from TrustReq, including newsletters, promotional offers, and other marketing materials. Users can opt out of receiving marketing communications at any time by following the unsubscribe instructions included in the communications or by contacting TrustReq. Users grant TrustReq a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sub-licensable right to use their User Contributions for advertising and marketing purposes. This includes the right to reproduce, distribute, display, and create derivative works from the User Contributions. TrustReq may use user feedback to improve the Service and develop new features. Users acknowledge and agree that TrustReq may use their feedback for these purposes without any obligation to the user.
Compliance with Professional Standards
Users who are subject to professional standards or regulations, including but not limited to lawyers, accountants, and other regulated professionals, are responsible for ensuring that their use of the Service complies with all applicable professional standards, regulations, and ethical obligations. This includes, but is not limited to, the Rules of Professional Conduct, by-laws, and guidelines issued by their respective regulatory bodies. For users who are members of the Law Society of Ontario (LSO), compliance includes adhering to all applicable by-laws and regulations, such as By-Law 9 (Financial Transactions and Records) and other relevant LSO by-laws. By-Law 9 outlines the obligations related to managing financial transactions and records, including trust account management, record-keeping, and reporting requirements. TrustReq provides tools to assist users in managing their professional responsibilities and compliance obligations. However, TrustReq is not responsible for ensuring that users comply with their professional standards, regulations, or by-laws. Users acknowledge and agree that TrustReq shall not be liable for any failure to comply with such standards, regulations, or by-laws. It is the sole responsibility of the user to understand and comply with all applicable professional standards and regulations. Users are encouraged to seek legal or professional advice to ensure that their use of the Service meets all necessary requirements. Users may be subject to audits or investigations by their regulatory bodies to ensure compliance with professional standards and regulations. Users agree to cooperate fully with any such audits or investigations and to provide access to records and data as required by their regulatory bodies. TrustReq is not responsible for any findings or consequences resulting from such audits or investigations. Users are encouraged to stay informed about changes in professional standards and regulations and to participate in relevant training and continuing education programs. TrustReq may provide resources or training materials to assist users, but it is the user’s responsibility to ensure their own compliance. Users must ensure that any data entered into the Service is accurate, complete, and up-to-date. Users are also responsible for implementing appropriate security measures to protect client information and comply with privacy and confidentiality obligations. Users are responsible for timely reporting and notification to their regulatory bodies as required by applicable standards and regulations. TrustReq is not liable for any failure to report or notify as required. Users agree to indemnify, defend, and hold harmless TrustReq, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with the user’s failure to comply with professional standards, regulations, or by-laws. TrustReq reserves the right to suspend or terminate access to the Service if it becomes aware of any violations of professional standards, regulations, or by-laws. Such termination or suspension may occur without notice and TrustReq shall not be liable for any resulting damages or losses.
Usage Limits & Fair Use Policy
Certain subscription plans offered by TrustReq may have specific usage limits, including but not limited to limits on the number of users, transactions, data storage, API calls, and other metrics. These limits are defined in your subscription agreement and are designed to ensure fair use of the Service. TrustReq reserves the right to monitor your usage of the Service to ensure compliance with the usage limits associated with your subscription plan. This monitoring may include tracking the number of active users, transaction volumes, data storage levels, and other relevant metrics. If you exceed the usage limits of your subscription plan, TrustReq may take the following actions: (1) imposing additional charges for the excess usage. The rates for these additional charges will be specified in your subscription agreement or communicated to you in advance; (2) implementing restrictions on your use of the Service, such as limiting access to certain features or reducing performance levels until usage is brought back within the prescribed limits; and (3) requiring you to upgrade to a higher-tier subscription plan that accommodates your usage levels. TrustReq will make reasonable efforts to notify you if your usage approaches or exceeds the limits of your subscription plan. Such notifications may be provided through email, in-app alerts, or other means. However, failure to receive a notification does not exempt you from additional charges or service restrictions for exceeding usage limits. It is your responsibility to monitor your usage of the Service and ensure that it remains within the limits of your subscription plan. You can review your usage metrics and limits through the account management section of the Service. TrustReq reserves the right to adjust the usage limits for any subscription plan at any time. Any changes to usage limits will be communicated to you in advance and will apply to your subscription upon renewal or as otherwise specified in the notification. Subscription plans may include limits on the amount of data you can store within the Service. If you exceed these data storage limits, TrustReq may charge additional fees for the excess storage or restrict your ability to upload new data until the excess data is removed or the storage limit is increased. If your subscription plan includes access to TrustReq’s API, there may be limits on the number of API calls you can make within a specified period. Exceeding these limits may result in additional charges or throttling of your API access. TrustReq’s fair use policy applies to all subscription plans to prevent abuse of the Service. Activities that are excessively resource-intensive or that significantly degrade the performance of the Service for other users may be deemed a violation of the fair use policy. TrustReq reserves the right to enforce this policy by imposing usage limits or taking other corrective actions. TrustReq reserves the right to audit your usage of the Service to ensure compliance with the usage limits and terms of your subscription plan. You agree to cooperate with any such audit and provide any information reasonably requested by TrustReq. TrustReq reserves the right to terminate or suspend your access to the Service if your usage consistently exceeds the limits of your subscription plan and you fail to take corrective action after being notified. Termination or suspension may occur without further notice and TrustReq shall not be liable for any resulting damages or losses. You agree to indemnify, defend, and hold harmless TrustReq, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your excessive use of the Service. TrustReq may provide usage reports to help you monitor your consumption of the Service and ensure compliance with usage limits. These reports are for informational purposes only and do not replace your responsibility to monitor and manage your usage. Upon notification of exceeding usage limits, you may be provided a grace period to adjust your usage to comply with the limits. The duration of this adjustment period will be specified in the notification, and failure to comply within this period may result in additional charges or service restrictions.
Support and Maintenance
TrustReq provides support and maintenance services ("Support Services") as part of certain subscription plans. The scope and level of Support Services provided depend on the specific subscription plan selected by the user. Detailed descriptions of the Support Services available for each subscription plan can be found in your subscription agreement or on the TrustReq website. Support Services may include assistance with account setup, troubleshooting, technical issues, usage guidance, and other related support activities. Support Services do not include custom development, consulting, or training services unless explicitly stated in your subscription plan. Support Services are provided during TrustReq’s standard business hours. Support availability may be subject to change, and TrustReq makes no guarantees regarding the availability of Support Services outside of these hours. Emergency support may be available at TrustReq’s discretion. While TrustReq aims to respond to support requests in a timely manner, no specific response times are guaranteed. Response times may vary based on the nature and complexity of the issue, the user’s subscription plan, and the volume of support requests received. TrustReq will make reasonable efforts to resolve support issues; however, TrustReq does not guarantee that all issues will be resolved to the user’s satisfaction or within a specific timeframe. Certain issues may require additional time, resources, or third-party involvement to resolve. Users can access Support Services through various channels, including email, phone, and in-app messaging, unless indicated otherwise by us. The preferred support channels and contact information will be provided to users as part of their subscription plan documentation or on the TrustReq website. TrustReq reserves the right to modify, suspend, or discontinue any aspect of the Support Services at any time, with or without notice. This may include changes to support hours, available support channels, or the scope of support provided. Users will be notified of significant changes to Support Services through email or announcements on the TrustReq website. Users are responsible for providing accurate and complete information when requesting support. This includes providing detailed descriptions of the issue, steps taken to reproduce the issue, and any relevant screenshots or error messages. Users must also cooperate with TrustReq’s support team and follow any instructions provided to resolve the issue. Support Services are limited to issues related to the TrustReq platform. TrustReq is not responsible for providing support for third-party products, services, or integrations that are not developed or provided by TrustReq. Users should contact the respective third-party provider for support related to such products or services. TrustReq encourages users to provide feedback on the Support Services to help improve the quality and effectiveness of support. Feedback can be submitted through the support channels or directly to TrustReq’s customer service team. TrustReq may provide training materials, knowledge base articles, FAQs, and other resources to help users troubleshoot common issues and make the most of the Service. Access to these resources may be included as part of the Support Services or made available separately. TrustReq’s liability for any support-related issues is limited as outlined in the Limitation of Liability section of these Terms. TrustReq shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the provision or failure to provide Support Services. Users agree to indemnify, defend, and hold harmless TrustReq, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with the use or provision of Support Services.
Insurance and Limitations on Claims
TrustReq may carry insurance coverage for certain types of risks associated with the provision of the Service. This insurance may include, but is not limited to, general liability insurance, professional liability insurance, cyber liability insurance, and business interruption insurance. The existence of such insurance coverage does not diminish or alter the limitations of liability or indemnification obligations set forth in these Terms. The specific scope and limits of TrustReq’s insurance coverage are determined by the terms of the insurance policies in effect. TrustReq does not warrant or represent that its insurance coverage will be sufficient to cover all losses or damages that may be incurred by users in connection with the use of the Service. To the extent that TrustReq’s insurance policies provide coverage for claims arising out of or relating to the use of the Service, users agree that their recovery shall be limited to the amount actually recovered by TrustReq under such insurance policies, subject to the applicable policy limits and conditions. Users acknowledge that this limitation applies regardless of the nature or basis of their claims, including but not limited to claims for breach of contract, negligence, or other torts. Users acknowledge that TrustReq’s insurance policies may contain exclusions, limitations, and deductibles that could affect the availability or amount of coverage for certain claims. TrustReq shall not be liable for any amounts that fall within policy exclusions or that are subject to policy deductibles. TrustReq makes no representations or warranties regarding the availability or adequacy of its insurance coverage for any particular claim or event. Users are responsible for assessing their own risks and determining whether they require additional insurance coverage to protect their interests. Users agree that, to the extent TrustReq’s insurers are entitled to subrogation rights, users shall cooperate fully with TrustReq and its insurers in pursuing any subrogation claims. This cooperation may include providing information, signing documents, and taking other actions reasonably requested by TrustReq or its insurers. The indemnification obligations set forth in these Terms are independent of any insurance coverage maintained by TrustReq. Users agree that their indemnification obligations shall not be limited or offset by any insurance proceeds received by TrustReq. Users are responsible for maintaining their own insurance coverage as necessary to protect their interests, including but not limited to general liability insurance, professional liability insurance, and cyber liability insurance. TrustReq is not responsible for any deficiencies in the user’s own insurance coverage. In the event of a claim that may be covered by TrustReq’s insurance, users agree to promptly notify TrustReq and provide all information and documentation necessary to process the claim. TrustReq will work in good faith with its insurers to address the claim, but makes no guarantees regarding the timing or outcome of the claims process. The existence of insurance coverage does not constitute a waiver of any rights or remedies available to TrustReq under these Terms or applicable law. TrustReq reserves the right to pursue any and all legal or equitable remedies in addition to seeking coverage under its insurance policies. TrustReq reserves the right to change its insurance coverage, including the types and amounts of coverage, at any time without notice to users. Users are encouraged to review these Terms periodically to stay informed about any changes that may affect their rights and obligations. By using the Service, users acknowledge and accept that there are inherent risks associated with online services, including but not limited to data breaches, cyber attacks, and service interruptions. Users assume all such risks to the extent not covered by TrustReq’s insurance policies. In no event shall TrustReq’s total liability to any user for all claims arising out of or relating to the use of the Service exceed the lesser of (i) the amounts actually recovered under TrustReq’s applicable insurance policies, or (ii) the aggregate amount of fees paid by the user to TrustReq for the Service during the twelve (12) months preceding the event giving rise to the claim. Users acknowledge that any information provided by TrustReq regarding its insurance coverage is subject to the terms and conditions of the actual insurance policies. TrustReq is not responsible for any discrepancies between the information provided and the terms of the policies.
Disputes Between Users and Law Firms
TrustReq recognizes that disputes may arise between lawyers (or paralegals) and the law firms they work for, particularly in the context of employment changes. In such instances, the client’s interests take precedence. TrustReq will follow the Law Society of Ontario’s rules and guidelines regarding lawyers or paralegals leaving a firm, ensuring that affected clients are informed and able to make an informed choice about their legal representation. Clients are not the property of a firm or a licensee and must be free to choose their legal representative without undue pressure or influence from either the departing licensee or the firm. TrustReq will facilitate this by ensuring that data and information are accessible in a manner that respects the client's choice and legal rights. When a lawyer or paralegal decides to leave a firm, the departing licensee should provide reasonable notice to the firm and take steps to identify any potential conflicts of interest. Both the departing licensee and the firm must give all affected clients sufficient notice of the departure and information to allow them to make an informed choice about their representation. In the event of a departure, disputes may arise regarding access to client files and TrustReq data. TrustReq will facilitate access to data in accordance with the Law Society of Ontario’s guidelines, prioritizing the client's interests and ensuring compliance with professional obligations. This includes enabling access to files for the departing licensee if the client chooses to follow them, and ensuring files are properly transitioned if the client chooses to stay with the firm or retain a new licensee. An affected client is one who has a current file with the firm that the departing licensee is handling or has substantial responsibility for. Whether a client should be notified does not depend on who signed the retainer agreement or who brought the client into the firm. All affected clients must be informed of the departure and given the choice to remain with the firm, go with the departing licensee, or retain a new licensee. The communication must be neutral in tone and provide sufficient information for the client to make an informed decision. The departing licensee and the firm should collaborate to create a list of affected clients and send a joint communication detailing the available options. If a joint communication is not possible, both the departing licensee and the firm have independent responsibilities to ensure affected clients are aware of their options. Communications to affected clients must be neutral and prioritize the client’s interests. Undue pressure or influence from either party is prohibited. The exact wording and level of detail should be tailored to the circumstances. Once clients have made their choice, the departing licensee and the firm must take reasonable steps to implement the clients’ instructions: (1) client stays with the firm: the departing licensee must ensure a smooth transition of the file to another member of the firm and inform other parties and the court of the change in representation; (2) client retains another licensee/firm: the departing licensee must comply with professional obligations regarding withdrawal from representation; (3) client follows departing licensee: the firm must provide the departing licensee’s contact information upon the client's request and facilitate the transfer of files and client property with written authorization. TrustReq will follow these principles by: (1) ensuring secure and compliant access to data for authorized users; (2) enabling data portability and transfer based on client instructions; (3) maintaining data integrity during transitions to minimize expense and avoid prejudice to the client. TrustReq will comply with the Law Society of Ontario’s guidelines and By-Laws regarding the transition of legal services when a licensee leaves a firm, ensuring all actions are in the best interest of the clients and in compliance with professional standards. In the event of a dispute between a departing licensee and a firm regarding access to client files or TrustReq data, TrustReq encourages the parties to resolve the matter amicably and in accordance with professional obligations. If necessary, TrustReq may temporarily restrict access to disputed data until the issue is resolved, prioritizing the client’s interests. Users agree to indemnify, defend, and hold harmless TrustReq, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with disputes between departing licensees and firms, provided that TrustReq has acted in compliance with the Law Society’s guidelines.
Invite Auditor Feature
TrustReq provides an "Invite Auditor" feature that allows account owners or users with the necessary permissions to invite auditors from the Law Society of Ontario (LSO) to access their account. This feature is designed to facilitate regulatory audits and ensure compliance with professional standards and obligations. The "Invite Auditor" feature can be activated by the account owner or users who have been granted the necessary permissions within the TrustReq platform. By activating this feature, the inviting user grants the auditor access to view all information and data that the account owner can see, including but not limited to financial records, client files, transaction histories, and communication logs. The inviting user is responsible for: (1) ensuring that the invitation to the auditor is intentional and necessary for compliance purposes; (2) providing accurate and complete information when inviting the auditor; (3) and if required by law, informing all relevant parties, including clients and other users within the account, about the auditor's access and the scope of the audit. Once an auditor has been invited and granted access, they will, among other things, have the ability to: (1) view, but not modify, all data and information that the account owner can access; (2) generate and download reports as necessary for the audit; (3) and review historical and current data to ensure compliance with LSO regulations. TrustReq is committed to maintaining the confidentiality and security of all data accessed through the "Invite Auditor" feature. TrustReq implements robust security measures to protect data during auditor access, including encryption, access logs, and monitoring. Users should also follow best practices to safeguard their data and restrict auditor access to the necessary scope and duration. Users cannot unilaterally revoke the auditor's access once it has been granted. The revocation of access can only occur with the auditor’s approval within the system, indicating that the audit is complete or that the auditor's access is no longer necessary. This ensures that the audit process cannot be prematurely terminated by the inviting user. By using the "Invite Auditor" feature, users agree to comply with all relevant legal and regulatory requirements, including those set forth by the LSO. TrustReq assumes no liability for any misuse of the feature or failure to comply with professional obligations. TrustReq shall not be liable for any actions taken by auditors while accessing user accounts, including but not limited to data breaches, unauthorized disclosures, or any other misuse of data. Users acknowledge that auditors are independent professionals subject to their own regulatory oversight. TrustReq reserves the right to modify, suspend, or terminate the "Invite Auditor" feature at any time, with or without notice. TrustReq will not be liable for any loss or damage resulting from the modification, suspension, or termination of this feature. TrustReq is committed to protecting user privacy and data. The use of the "Invite Auditor" feature will be governed by TrustReq’s Privacy Policy, which outlines how personal information and data are collected, used, and protected. Users are encouraged to review the Privacy Policy regularly to stay informed about TrustReq’s data protection practices. Any disputes arising from the use of the "Invite Auditor" feature will be resolved in accordance with the dispute resolution procedures outlined in the TrustReq Terms of Service. Users agree to cooperate fully with TrustReq and the LSO in resolving any issues related to auditor access. It is the user’s responsibility to verify the identity and legitimacy of the auditor they are inviting. Users must ensure that the individual they invite is a duly authorized auditor from the Law Society of Ontario (LSO). TrustReq is not responsible for verifying the auditor’s credentials and will not be liable for any fraudulent invitations or access granted to unauthorized individuals. Users should take appropriate steps to prevent fraud and unauthorized access.By using TrustReq, you acknowledge that you have read, understood, and agree to be bound by these Terms.
